1. Introduction

Welcome to Snaplit ("Service", "we", "us", or "our"). By accessing or using our website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

Snaplit is an AI-powered service that generates professional LinkedIn headshots from your casual photos using artificial intelligence technology.

2. Eligibility

You must be at least 18 years old to use this Service. If you are under 18, you may only use this Service with the involvement and consent of a parent or legal guardian. By using our Service, you represent and warrant that you meet these eligibility requirements.

3. User Responsibilities

By using our Service, you agree to:

  • Only upload photos that you own or have explicit permission to use
  • Not upload photos of other individuals without their consent
  • Not upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Not use the Service for any unlawful purpose or in violation of any applicable laws
  • Not attempt to reverse engineer, decompile, or disassemble any part of our Service

Recommended Use: This Service is intended for generating professional headshots from your personal photos. Upload 8-10 clear photos of yourself. You are solely responsible for ensuring you have the legal right and proper consent to upload such content, especially if others appear in your photos.

4. Photo Processing, AI Training & Storage

When you upload photos to our Service:

  • Your photos are used to train a personalized AI model (LoRA) specifically for your headshots using Replicate's infrastructure
  • The training process analyzes your facial features to create accurate professional headshots that preserve your identity
  • Your uploaded photos and the trained AI model may be stored temporarily during the generation process
  • Generated headshots are stored and made available for download via a unique access link
  • We do not use your photos to train general AI models or for any purpose beyond providing your specific headshots
  • We do not sell, share, or distribute your photos to third parties (except as required for AI processing via Replicate)
  • We reserve the right to retain or delete images and AI models at our sole discretion

IMPORTANT: By uploading photos, you explicitly consent to having those photos used to train a personalized AI model for generating your headshots. This training is performed by Replicate, a third-party AI service provider.

5. Payment Terms

  • Preview generation is free. Full package costs $9.99 USD for 5 professional headshots
  • Payments are processed securely through Stripe
  • All purchases are final. Due to the digital nature of our product, we do not offer refunds once headshots have been generated and made available for download
  • Prices are subject to change without notice

6. Intellectual Property

  • You retain all rights to your original uploaded photos
  • You receive a personal, non-exclusive, non-transferable license to use the generated images for personal, non-commercial purposes
  • Ownership of AI-generated content is subject to applicable laws and the terms of third-party AI providers
  • The SantaWasHere brand, logo, and website design are our intellectual property
  • You may not use our branding without explicit written permission
  • You may not resell, redistribute, or commercially exploit generated images

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

  • We do not guarantee specific results or that the AI output will meet your expectations
  • AI-generated headshots may contain imperfections, artifacts, distortions, or unexpected results
  • We make no warranty that the AI will perfectly represent your likeness or professional appearance
  • We are not responsible for any issues arising from how you use the generated headshots
  • We do not guarantee uninterrupted or error-free operation of the Service
  • We do not warrant that the Service will be free of viruses or other harmful components
  • We are not responsible for any emotional distress, disappointment, or dissatisfaction caused by AI-generated results
  • We make no guarantees about image quality, resolution, or suitability for any purpose

IMPORTANT: AI image generation is an experimental technology. Results are unpredictable and may not match your expectations. You accept full responsibility for your use of this Service and any generated content.

8. Assumption of Risk

BY USING THIS SERVICE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • You use the Service entirely at your own risk
  • You are solely responsible for any photos you upload and how you use generated images
  • AI technology is inherently unpredictable and may produce unexpected, inaccurate, or undesirable results
  • You assume all risks associated with sharing, distributing, or publishing generated images
  • You are responsible for obtaining any necessary permissions or consents from individuals depicted in photos you upload
  • You assume all risk of emotional, reputational, or other harm that may result from using generated images
  • You understand that uploaded images are processed by third-party AI services and you assume all associated risks

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SNAPLIT AND ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages
  • Any loss of profits, revenues, data, use, goodwill, or other intangible losses
  • Any damages arising from your use or inability to use the Service
  • Any damages arising from AI-generated content or image processing results
  • Any damages resulting from unauthorized access to or alteration of your data
  • Any damages arising from third-party services (Replicate, Stripe, Supabase, PostHog, Vercel, Cloudflare)
  • Any emotional distress, embarrassment, or reputational harm
  • Any damages resulting from errors, mistakes, or inaccuracies in the AI output
  • Any damages from service interruptions, delays, or failures

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) TEN US DOLLARS ($10 USD).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless Snaplit and its owners, operators, officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms of Service
  • Your violation of any third-party right, including without limitation any copyright, trademark, property, or privacy right
  • Any photos you upload or content you submit
  • Any claim that your use of the Service caused damage to a third party
  • Your distribution, sharing, or publication of generated images
  • Any claim related to individuals depicted in photos you upload without proper consent

This indemnification obligation will survive the termination of these Terms and your use of the Service.

11. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

11.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at snaplitreachout@yahoo.com and attempt to resolve the dispute informally for at least 30 days.

11.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Snaplit agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

11.3 Class Action Waiver

YOU AND SNAPLIT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Snaplit agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

11.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to snaplitreachout@yahoo.com within 30 days of first using the Service.

Our Service uses the following third-party services. By using Snaplit, you also agree to their respective terms:

We reserve the right to terminate or suspend your access to the Service at any time, without prior notice, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the Service will immediately cease. We shall not be liable to you or any third party for any termination of your access to the Service.

14. No Refunds Policy

ALL SALES ARE FINAL. Due to the digital nature of our product and the immediate delivery of AI-generated headshots:

  • We do not offer refunds once headshots have been generated and made available for download
  • Dissatisfaction with AI-generated results does not entitle you to a refund
  • By making a purchase, you acknowledge and accept this no-refund policy

Exception: Refunds may be provided at our sole discretion only if the purchased headshots fail to generate or cannot be delivered due to a verified technical issue on our end. To request consideration, contact us at snaplitreachout@yahoo.com with your transaction details.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Subject to the arbitration provisions above, any disputes arising from these Terms shall be resolved exclusively in the courts located in Ontario, Canada. By using this Service, you consent to the personal jurisdiction of such courts.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of any other provision of these Terms, and all other provisions shall remain in full force and effect.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Snaplit regarding your use of the Service. These Terms supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral, between you and Snaplit regarding the Service. Any waiver of any provision of these Terms will be effective only if in writing and signed by Snaplit.

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, shortage of transportation, facilities, fuel, energy, labor, or materials, failure of third-party services (including AI providers, payment processors, and hosting services), cyber attacks, or internet service provider failures.

19. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

20. Acknowledgment

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU ALSO AGREE THAT THESE TERMS OF SERVICE, TOGETHER WITH THE PRIVACY POLICY, REPRESENT THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND SNAPLIT AND SUPERSEDE ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN YOU AND SNAPLIT RELATING TO THE SUBJECT MATTER OF THESE TERMS.
